ARTICLE I

NAME OF THE ORGANIZATION

 The official name of the organization shall be “THE JAMES MADISON UNIVERSITY STAFF EMERITI ASSOCIATION,” and will be referred to as “SEA.

ARTICLE II

PURPOSE OF THE ORGANIZATION

 The Association is a volunteer organization of retired staff members who have joined together to maintain ties to James Madison University and to promote their current interests.

ARTICLE III

MEMBERSHIP

 Members of the Staff Emeriti Association (SEA) shall be staff who have retired from JMU and have earned emerita/emeritus status approved by the president of JMU.

 Association membership in the SEA shall consist of former full-time classified staff members with at least 10 years of service nominated by their supervisor with final approval by the president at the discretion of the university. Nominees must be retired in good standing and have a record of noteworthy contributions throughout their career.

ARTICLE IV

PRESIDING OFFICERS

 Section I

 The steering committee of the SEA shall be comprised of a committee chair and at least 4 committee members. Committee members shall be nominated and elected from among their number at a business meeting of the steering committee.

 Section II

 All steering committee members shall be elected for terms of 2 years and until their successors are duly elected and qualified. However, committee members may succeed themselves in office if re-elected. If the committee chair resigns, a replacement will be selected from among the current steering committee members by majority vote.

 Section III

The duties of the steering committee members shall be as follows:

A.    COMMITTEE CHAIR

Shall call and preside at all meetings of the organization and act as the official spokesperson for the Association.

Shall appoint committees as needed.

Shall assume the responsibility for the countersigning of all requisitions for expenditures.

Shall issue an annual report which shall be available to members of the SEA.

B.     COMMITTEE VICE-CHAIR

Shall perform the duties of the committee chair in the event of his/her absence, resignation, or inability to perform his/her duties.

C.    SECRETARY

Shall keep the minutes and records of the Staff Emeriti Association and perform other duties as assigned by the Committee Chair.

Shall work with the committee chair to prepare and conduct necessary correspondence as required and shall perform other duties as assigned by the Committee Chair.

D.    TREASURER

Shall collect dues and act as custodian of all monies and securities of the SEA. He/she shall deposit all funds in a bank account bearing the name of the SEA. He/she shall pay all bills contracted by the organization and approved by the Committee Chair, keep a detailed account of all receipts and disbursements, maintain financial records and submit a financial report at all regular meetings of the Steering Committee.

ARTICLE V

STEERING COMMITTEE

The Steering Committee shall consist of the elected officers of the Association, standing committee chairs and past steering committee chairs.

ARTICLE VI

COMMITTEES

Standing committees of the Staff Emeriti Association shall consist of the following:

Steering Committee

Program Committee

Benefits Committee

Other committees formed as needed

ARTICLE VII

MEETINGS

There shall be an annual general membership meeting, date and location to be determined. Meetings shall be governed by “Roberts Rules of Order,” revised in all cases to which they are applicable, in which they are not inconsistent with the by-laws or special rules of order of the SEA.

ARTICLE VIII

DUES

Dues shall be determined and regulated by a majority vote of the Steering Committee.

ARTICLE IX

AMENDMENTS

Proposals for amending the By-laws of the Staff Emeriti Association shall be submitted in writing to the Association’s Committee Chair for presentation to the membership for ratification.
